IMPORTANT: NON-REFUNDABLE POLICY

ALL PAYMENTS FOR CUSTOM WEB DEVELOPMENT SERVICES ARE NON-REFUNDABLE ONCE WORK HAS COMMENCED. BY ENGAGING OUR SERVICES AND MAKING PAYMENT, YOU ACKNOWLEDGE AND AGREE TO THIS NON-REFUNDABLE POLICY.

However, we are fully committed to your satisfaction. We work to resolve concerns through collaboration and revisions until the project meets the agreed-upon specifications.

1. Basis for Non-Refundable Policy

PraxaStudio provides custom, bespoke digital web presence development services. This non-refundable policy exists for the following legally and commercially sound reasons:

1.1 Non-Transferable Custom Work.

Every project we undertake is uniquely created for that specific client. Unlike off-the-shelf products or templates, custom creative work—including designs, code, messaging, strategy, and all deliverables—is tailored specifically to your business, industry, brand, and market position. This work has no residual value to any party other than the client for whom it was created and cannot be resold, repurposed, or transferred to another party.

1.2 Immediate Resource Allocation.

Upon project commencement, we allocate significant company resources including but not limited to: developer time, designer hours, strategist involvement, project management, third-party tool licenses, hosting infrastructure, and administrative overhead. These resources cannot be recovered, reallocated, or refunded once deployed.

1.3 Opportunity Cost.

When we accept your project, we decline other potential projects. This opportunity cost is real, significant, and cannot be recovered if a project is cancelled mid-stream.

1.4 Industry Standard Practice.

Non-refundable policies for custom creative and professional services are standard practice throughout the web development, design, marketing, consulting, and professional services industries.

2. Definition of "Work Commenced"

Work is legally deemed to have "commenced" when any of the following activities have begun:

(a) Initial discovery, strategy, or planning sessions have been conducted;

(b) Research, competitive analysis, or market analysis has been performed;

(c) Design concepts, wireframes, mockups, or prototypes have been created;

(d) Content strategy, messaging, or copywriting has been developed;

(e) Any development, coding, or technical implementation has been initiated;

(f) Domain registration, hosting setup, or third-party services have been procured;

(g) Project management or administrative work has been performed;

(h) Any other billable work has been performed on the project.

IN MOST CASES, WORK COMMENCES WITHIN 24-48 HOURS OF RECEIVING PAYMENT. ONCE PAYMENT IS RECEIVED, YOU SHOULD ASSUME WORK HAS COMMENCED UNLESS YOU RECEIVE WRITTEN CONFIRMATION OTHERWISE.

3. Our Satisfaction Commitment

WE STAND BEHIND OUR WORK

While we maintain a strict no-refund policy, we are deeply committed to your satisfaction. If you are dissatisfied with any aspect of the delivered work that falls within the agreed-upon project scope, we will:

(a) Listen carefully to your specific concerns;

(b) Identify actionable issues that can be addressed;

(c) Revise, modify, or correct the deliverables;

(d) Continue working with you until the project meets the agreed-upon specifications;

(e) Make reasonable accommodations to address legitimate concerns.

Our reputation is built on delivering excellent work. We have every incentive to ensure your satisfaction within the agreed project scope.

Important Clarification: Our satisfaction commitment covers work within the original project scope. Requests for additional features, expanded scope, changes to business requirements, or complete redesigns beyond the original agreement may require additional fees.

4. Pre-Commencement Cancellation

If you wish to cancel your project before work has commenced (as defined in Section 2):

4.1 Written Confirmation Required.

Work is deemed "not commenced" only if PraxaStudio confirms in writing (email is acceptable) that no work has yet begun on your project.

4.2 Administrative Fee.

A non-refundable administrative fee of Five Hundred United States Dollars ($500.00 USD) will be deducted from any refund to cover consultation time, planning, scheduling adjustments, administrative processing, and opportunity costs.

4.3 Refund Timeline.

Eligible refunds will be processed within fourteen (14) business days via the original payment method. Processing times may vary depending on your financial institution.

4.4 Third-Party Costs.

Any third-party costs already incurred on your behalf (domain registration, software licenses, stock images, hosting fees, etc.) are non-refundable and will be deducted from any refund amount.

5. Post-Commencement Cancellation

AFTER WORK HAS COMMENCED, THE FOLLOWING APPLIES:

5.1 No Refund. No refund of any kind will be issued for work already performed or in progress. All payments made are final and non-refundable.

5.2 Ownership of Completed Work. Upon cancellation, you will receive ownership and all files for any work completed up to the date of cancellation, subject to full payment and our standard intellectual property provisions.

5.3 Outstanding Balances. If any balance remains unpaid at the time of cancellation, it becomes immediately due and payable.

5.4 No Obligation to Complete. PraxaStudio has no obligation to complete any remaining work after cancellation.

5.5 Termination Fee. We reserve the right to charge an early termination fee equal to twenty-five percent (25%) of the remaining unpaid project balance to cover administrative costs and schedule disruption.

6. Monthly Maintenance Plans

For monthly maintenance plans (Praxa Steady, Praxa Partner, and Praxa Growth):

6.1 Cancellation. Monthly maintenance plans may be cancelled at any time. No notice period is required. Send cancellation requests to [email protected].

6.2 No Partial Refunds. No refunds will be issued for partial months, unused services within a billing period, or any previous billing periods.

6.3 Service Continuation. Services will continue through the end of the current paid billing period after cancellation notice is received.

6.4 Auto-Renewal. Plans automatically renew each month and your payment method will be charged until cancelled according to these terms.

6.5 Price Changes. We reserve the right to change plan pricing with thirty (30) days' notice. Continued use after price changes constitutes acceptance.

7. Chargebacks and Payment Disputes

WARNING: CHARGEBACKS AND PAYMENT DISPUTES

Initiating a chargeback, payment dispute, or credit card dispute instead of communicating directly with us constitutes a material breach of our agreement. In the event of a chargeback or payment dispute:

(a) We will provide complete documentation to the payment processor demonstrating that services were rendered in accordance with our agreement;

(b) We reserve the right to pursue collection of any unpaid amounts through all available legal means;

(c) You shall be liable for all collection costs, legal fees, court costs, and interest at the maximum rate permitted by law;

(d) Access to any delivered work, ongoing services, and client accounts may be immediately suspended;

(e) We reserve the right to report fraudulent chargebacks to appropriate authorities and credit bureaus;

(f) Your account may be terminated and you may be permanently banned from future services;

(g) We may pursue claims for tortious interference, fraud, and breach of contract.

8. Force Majeure

Neither party shall be liable for any failure or delay in performance due to circumstances beyond their reasonable control, including but not limited to: acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, pandemics, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

9. Exceptions

PraxaStudio reserves the sole and absolute right to make exceptions to this policy on a case-by-case basis, at our complete discretion. Any exception granted to one client does not establish precedent for any other client or situation. Exceptions must be approved in writing by a company founder. We are under no obligation to grant any exception for any reason.

10. Dispute Resolution

If you have a dispute regarding our services or this Refund Policy:

(a) You must first contact us directly at [email protected];

(b) Provide specific, written details about your concerns;

(c) Allow us thirty (30) days to respond and attempt to resolve the issue;

(d) Work with us in good faith toward a resolution.

If direct communication does not resolve the dispute, the dispute resolution procedures in our Terms of Service shall apply, including binding arbitration and class action waiver provisions.

11. Acknowledgment and Agreement

BY ENGAGING OUR SERVICES AND MAKING PAYMENT, YOU EXPRESSLY ACKNOWLEDGE THAT:

(a) You have read and understood this entire Refund Policy;

(b) You agree to all terms and conditions set forth herein;

(c) You understand that all payments are non-refundable once work has commenced;

(d) You have had the opportunity to ask questions and seek legal counsel;

(e) This policy is incorporated into and forms part of our Terms of Service;

(f) You are entering into a binding legal agreement.

12. Governing Law

This Refund Policy shall be governed by and construed in accordance with the laws of the State of Wyoming, United States of America, without regard to its conflict of law principles.
